Terms & Conditions

Welcome to NOWY Pro. These Terms and Conditions ("Terms") govern your subscription to NOWY Pro, the premium tier of the NOWY mobile application ("App") provided by Nowy Inc., a Delaware corporation ("Company," "we," "us," or "our"). By subscribing to NOWY Pro, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Please read these Terms carefully before subscribing. If you do not agree to these Terms, do not subscribe to NOWY Pro.

1. Eligibility

Age Requirement: You must be at least 13 years of age to create an account and use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that you have your parent's or legal guardian's permission to use the Service and that they have read and agree to these Terms on your behalf.

By creating an account or subscribing to NOWY Pro, you represent and warrant that you meet the eligibility requirements stated above. We reserve the right to terminate accounts that do not meet these requirements.

2. Subscription Overview

NOWY Pro is a premium subscription service that provides enhanced features within the NOWY App, including but not limited to: unlimited trips with multi-social links, AI-powered hotel price monitoring, premium AI travel assistant, 14-day smart weather forecasts, world travel map, trip photo albums, and Google Maps navigation integration.

Subscription to NOWY Pro grants you a personal, non-transferable, non-exclusive, revocable license to access and use the premium features during your active subscription period, subject to these Terms.

3. Subscription Plans & Pricing

NOWY Pro is offered at the following subscription rates:

Monthly Plan: $8.99 USD per month, billed monthly

Annual Plan: $59.99 USD per year, billed annually

Prices are in United States Dollars (USD) and may vary by region based on currency conversion and local taxes. We reserve the right to modify pricing at any time. Price changes will be communicated in advance and will apply to your next billing cycle following the effective date of the change. Your continued use of NOWY Pro after a price change constitutes acceptance of the new pricing.

4. Free Trial

New subscribers may be eligible for a 3-day free trial of NOWY Pro. The free trial provides full access to all premium features during the trial period.

IMPORTANT: Your subscription will automatically convert to a paid subscription at the end of the free trial period unless you cancel at least 24 hours before the trial expires. If you cancel during the free trial, you will not be charged.

Free trial eligibility is limited to one trial per Apple ID. We reserve the right to modify, suspend, or discontinue free trial offers at any time without notice. Any unused portion of a free trial period will be forfeited when you purchase a subscription.

5. Payment & Billing

All payments for NOWY Pro subscriptions are processed by Apple through the App Store. Payment will be charged to your Apple ID account at confirmation of purchase (or at the end of your free trial period, if applicable).

By subscribing, you authorize Apple to charge your designated payment method for the subscription fees. We do not directly collect, store, or process your payment information. All payment transactions are governed by Apple's terms and privacy policies.

You are solely responsible for ensuring your payment information is current and that sufficient funds are available. Failed payments may result in immediate suspension or termination of your subscription and access to premium features.

6. Automatic Renewal

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period (monthly or annually, depending on your plan) unless you cancel auto-renewal at least 24 hours before the end of the current period.

Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected subscription plan (or the updated rate, if pricing has changed with proper notice).

You may manage your subscription and turn off auto-renewal at any time through your Apple ID account settings (Settings > [Your Name] > Subscriptions > NOWY Pro).

7. Cancellation

You may cancel your NOWY Pro subscription at any time through your Apple ID account settings: Settings > [Your Name] > Subscriptions > NOWY Pro > Cancel Subscription.

Upon cancellation, you will retain access to NOWY Pro features until the end of your current paid billing period. After that period ends, your account will revert to the free tier, and you will no longer have access to premium features.

Cancellation does not automatically delete your account or user data. Your trips, preferences, and other data will remain accessible under the free tier unless you separately request account deletion.

8. Refunds

All subscription purchases are final and non-refundable, except as required by applicable law. Because NOWY Pro subscriptions are sold through Apple's App Store, any refund requests must be submitted directly to Apple in accordance with Apple's refund policies.

To request a refund from Apple, visit reportaproblem.apple.com or contact Apple Support. Refunds are granted at Apple's sole discretion and are subject to Apple's terms and policies. We have no control over Apple's refund decisions.

9. Service Availability & Modifications

We strive to provide continuous access to NOWY Pro features. However, we do not guarantee uninterrupted, timely, secure, or error-free service. The App and its features may be temporarily unavailable due to scheduled or unscheduled maintenance, updates, technical issues, or circumstances beyond our control.

We reserve the right to modify, suspend, discontinue, or remove any feature of NOWY Pro at any time, with or without notice. We will make commercially reasonable efforts to notify subscribers of significant changes to premium features, but we are not obligated to maintain any particular feature or functionality.

10. Geographic Availability

NOWY is available for download in App Store regions worldwide, with the exception of mainland China, where the App is not currently available. Service availability, features, and functionality may vary by region and are subject to change without notice.

11. User Responsibilities & Acceptable Use

By using NOWY Pro, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms

• Provide accurate, current, and complete information when creating your account

• Maintain the security and confidentiality of your account credentials

• Not share your account or subscription access with others

• Not attempt to circumvent, disable, or interfere with any security features of the App

• Not use automated systems (bots, scrapers, etc.) to access the Service

• Not use the Service in any manner that could damage, disable, overburden, or impair the App or its servers

• Not use the Service to transmit any malicious code, viruses, or harmful content

You are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

12. User Content

You retain ownership of any content you submit, upload, or create within the App ("User Content"), including trip information, photos, and preferences. By submitting User Content, you grant Nowy Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe any third-party rights; and (c) your User Content does not violate any applicable laws.

We reserve the right to remove any User Content that violates these Terms or that we deem objectionable, without prior notice or liability.

13. Intellectual Property

The NOWY App, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, software, algorithms, AI models, and the design, selection, and arrangement thereof) is owned by Nowy Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

NOWY® is a registered trademark of Nowy Inc. (U.S. Registration #8093885). You may not use our trademarks, trade names, or branding without our prior written consent.

14. Privacy Policy

Your use of NOWY Pro is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. The Privacy Policy is available within the App and at our website.

15. Disclaimers

NOWY PRO AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Travel Information Disclaimer: Travel information, recommendations, pricing, availability, weather forecasts, and other content provided through NOWY Pro are for informational purposes only and are derived from third-party sources and AI-generated analysis. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY TRAVEL INFORMATION OR PRICING DATA. Prices and availability are subject to change without notice. You are solely responsible for independently verifying all travel arrangements, bookings, and information before making any travel decisions or purchases.

Third-Party Services: When you click through to booking partners like Priceline or Viator, you leave our Service and interact directly with those third parties. We are not responsible for the products, services, content, terms, or privacy practices of any third-party services. Your transactions with third parties are solely between you and those third parties.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOWY INC., ITS PARENT, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service

• Any unauthorized access to or use of our servers or your personal information

• Any interruption, suspension, or cessation of the Service

• Any errors, inaccuracies, or omissions in any content or information

• Any travel decisions or arrangements made based on information provided through the Service

• Any transactions or dealings with third-party services accessed through the App

• Any other matter relating to the Service

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU FOR NOWY PRO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

17. Indemnification

You agree to indemnify, defend, and hold harmless Nowy Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees and legal costs) arising from or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (f) any dispute between you and a third party, including any booking partner or service provider.

18. Termination

We reserve the right to suspend or terminate your access to NOWY Pro and/or your account, with or without notice, for any reason, including but not limited to: (a) violation of these Terms; (b) fraudulent, abusive, or illegal activity; (c) non-payment of subscription fees; or (d) extended periods of inactivity.

Upon termination, your right to use NOWY Pro will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

Informal Resolution: Before initiating any formal dispute proceeding, you agree to first contact us at info@nowy.io and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Fairfax County, Virginia, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND NOWY INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights. Claims within the jurisdiction of small claims court may be brought in small claims court.

20. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices or agreements published by us within the App, constitute the entire agreement between you and Nowy Inc. regarding NOWY Pro and supersede all prior agreements and understandings, whether written or oral.

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Nowy Inc.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

21. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms within the App, updating the "Effective Date," or by other reasonable means. Your continued use of NOWY Pro after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the changes take effect.
